DAHTint Terms of Service

Version shop-terms-v3.6

Effective: October 12, 2026 (for each shop, these Terms take effect on the date the shop accepts them)

Each section below opens with a line that begins "In plain terms." Those lines are a reading aid only. They are not part of the agreement and do not modify, limit, or expand the operative text that follows them. If a plain-terms line and the operative text ever disagree, the operative text controls.

The deal, in one look (a reading aid, like the "in plain terms" lines below — the numbered sections are the agreement)

  • Your first 30 days are free. No plan charge, and DAHTint charges 0% payment fees during them. You pick a plan and connect your bank whenever you like inside them, and nothing is on file until you do. Stripe's own processing fees still apply, and the optional $10 rush fee (charged only if you ask us to get your custom domain live during your free 30 days, instead of at your first payment) is the only DAHTint charge that can fall inside them.
  • If your billing is set up when your 30 days end, your plan bills automatically at your tier price the day they end, and on that same date every month after (or the last day of a shorter month), until you cancel. If it is not, your site goes offline the next day and you owe nothing. Set up billing and it comes back on, billed that day. We email you at least 10 days before your 30 days end either way.
  • You can cancel any time, on the Money page in your account — no call, no email, no reason, and no notice period. Any open balance has to be paid first. Cancelling stops your next charge; your shop stays live through the end of the period you've paid for, or through the end of your free 30 days if you cancel inside them. If you never set up billing, there is nothing to cancel.
  • Month-to-month: no minimum term, no contract period, no cancellation fee, and no startup fee other than the optional $10 rush fee if you ask us to register a custom domain in a hurry — that rush fee is the only DAHTint charge that can fall inside your free 30 days.
  • When you leave, your storefront goes dark and we don't promise to keep your data — download your reports before you cancel.
  • The parts worth reading twice: the person who accepts is personally bound by Sections 9, 10, and 11; for 24 months after you leave you may not help build a competing product out of ours (Section 10); what you learn inside the product stays confidential with no expiration date (Section 9.6); and disputes go to individual arbitration in Boise, with no class actions (Sections 19.3 and 19.5) and no jury trial if a dispute ever does reach court (Section 19.8). You can opt out of arbitration by emailing us within 30 days of accepting (Section 19.9).

1. Who we are, and who you are

In plain terms: we're a software company in Idaho, you're a business buying software, and the person who clicks "agree" is promising they can bind the business. That person also signs Sections 9, 10, and 11 in their own name — the confidentiality, anti-copying, and remedies sections — and stays bound by them personally after they leave your shop.

1.1 Us. The Services are provided by First Class Custom LLC, an Idaho limited liability company doing business as DAHTint, with a mailing address at 120 N 12th St, Apt 805, Boise, Idaho 83702 and a legal notices address of support@dahtint.com.

1.2 You. "You" and "your" mean the business that subscribes to the Services — the window-tint, wrap, or vehicle-appearance shop named in your account (the "Shop"). These Terms govern a business-to-business relationship. You are buying the Services for your business, not for personal, family, or household purposes, and you agree that this is a commercial transaction within the meaning of Idaho Code § 12-120(3).

1.3 Authority. The individual who accepts these Terms represents and warrants that they are at least 18 years old, that they have authority to bind the Shop, and that all information given about the Shop is accurate and complete.

1.4 The individual's own promises. Separately from accepting on the Shop's behalf, the individual who accepts these Terms agrees personally and individually to be bound by Section 9 (Our property, your license, and your obligations), Section 10 (Derived-material covenant), and Section 11 (Remedies for Sections 9 and 10). This is that individual's own promise, given in exchange for DAHTint granting that individual access to the Services and to DAHTint's Confidential Information (defined in Section 9.5). It is not a guaranty of the Shop's payment obligations and it does not make the individual liable for the Shop's fees. It continues after the individual leaves the Shop, and it survives termination of these Terms.

1.5 Everyone who acts through your account. You are responsible and liable for every act and omission of every person who uses the Services through your account, your credentials, or any access you allow — your owners, managers, employees, contractors, agents, and anyone else you let in — as if you had done it yourself. That includes any breach of Section 9 or Section 10 by any of them, whether or not you authorized it, subject to the one limit stated in Section 4.7 for a person who had no access you granted and whose conduct you did not know about. The individual who accepted these Terms remains personally bound under Section 1.4. You represent that you have given your personnel any notices, and obtained any acknowledgments and consents, that the law requires in connection with their use of the Services.

2. Accepting these Terms, our record of it, and changes

In plain terms: you accept by ticking the box and clicking through; we keep a dated record of exactly what you agreed to; and if we make a material change to these Terms we will notify you at least 30 days beforehand.

2.1 How you accept. You accept these Terms by checking the acceptance box and completing signup, or by continuing to use the Services after a new version takes effect under Section 2.3. Under the federal E-SIGN Act and the Idaho Uniform Electronic Transactions Act (Idaho Code §§ 28-50-101 et seq.), that click is a signature and this is a signed written agreement.

2.2 What we record. When you accept, we record the version identifier and content hash of the exact document linked from the agreement box, the date and time in UTC, the accepting account and email address, the IP address, and the browser user agent. We keep your acceptance records for as long as we may need them to establish what you agreed to, and we will give you a copy of the version you accepted if you ask.

2.3 Changes.

  • (a) We may change these Terms. For any material change we will give you at least 30 days' advance notice, sent under Section 20.2. Material changes include changes to fees, to Sections 9, 10, or 11, to Section 19 (Disputes), to the limitation of liability in Section 16, or to how we may use your data under Section 8.
  • (b) If you keep using the Services after the 30-day notice period ends, your continued use is acceptance of the new version. If you do not want it, cancel before it takes effect.
  • (c) Non-material changes take effect on the effective date stated in our email to you.
  • (d) You may cancel at any time before a change takes effect, without penalty, under Section 5.4.
  • (e) No change applies retroactively. A new version never governs a dispute or claim that arose before its effective date, and never changes fees you have already been charged.

3. What DAHTint is — and what it is not

In plain terms: we rent you tools. You run your business. We are never in the middle between you and your customer. We can change the product, and we tell you 30 days ahead if a change takes something away from your plan.

3.1 The Services. DAHTint provides hosted software for tint and vehicle-appearance shops: a public storefront on the web, an instant-quote engine that prices from settings you supply, online booking with a card deposit, transactional email to your customers, a schedule application for your staff, an owner administration area, and the related tools we make available on your plan from time to time (together, the "Services").

3.2 You run the business. You decide what you sell, what you charge, who you serve, when you work, and how the work is done. The Services are tools for running your business. They are not the business itself.

3.3 We are not a party to your transactions. DAHTint is not a party to any quote, booking, deposit, invoice, appointment, service, warranty, refund, cancellation, complaint, or dispute between you and your customer. Any contract for services made through the Services is directly and only between you and your customer. DAHTint is not the seller and not the merchant of record. DAHTint is not a marketplace, marketplace facilitator, marketplace provider, or similar construct under any law relating to sales, use, or similar taxes, and the Services do not provide a marketplace or similar construct. You agree not to take any position to the contrary, including on any tax return or filing, in any tax audit or examination, or in any proceeding.

3.4 We never hold your money. Customer payments taken through the Services are processed as direct charges on your own Stripe account and settle to your own bank account. DAHTint does not receive, hold, route, escrow, reserve, or pay out your customers' funds at any time, other than DAHTint's own fee, which Stripe deducts from each payment and pays to us (Section 6). We take no security interest in, and have no right of setoff against, your Stripe balance or your bank account.

3.5 Not advice. Nothing in the Services, in our documentation, in our support, or in these Terms is legal, tax, accounting, insurance, or business advice. Default settings, sample values, and suggested figures are conveniences. They are not recommendations and not statements about what the law requires of you.

3.6 We may change the Services. We may add to, change, or discontinue any part of the Services. If a change materially reduces what your plan includes, we will tell you at least 30 days before it takes effect, and you may cancel before it does. Section 5.6 says the same thing for plans that carry a price lock, and Section 15.2 governs beta features.

4. Your responsibilities

In plain terms: everything about your business is yours — your customers, your prices, your taxes, your compliance, your staff, your Stripe account. We give you tools; you answer for how you run the shop, and for what the people you let into the app do with it.

4.1 Your customers. You are solely responsible for the services you sell and perform, for their quality and workmanship, for any warranty or guarantee you offer, for customer service, for refunds and cancellations, for handling complaints, and for responding to and paying any chargeback or dispute. You own the relationship with your customer.

4.2 Your prices and your pricing settings. The quote engine computes prices from the settings you supply — your film costs, your labor rates, your multipliers, your add-ons, your overrides, and your fallbacks. Every quote the Services produce is a function of your configuration, and you are responsible for that configuration and for every price you charge. You will review your settings before you go live and whenever you change them. You assume all risk in connection with your use of, interpretation of, and reliance on any quote, price, duration estimate, or other output of the Services, and you agree that any price you present to a customer reflects your own reasonable business judgment.

4.3 Taxes on your sales. You are the seller of record for everything sold through your storefront. You are solely responsible for (a) determining which taxes, if any, apply to what you sell; (b) registering with tax authorities in every jurisdiction where you are required to register; (c) calculating, collecting, reporting, filing, and remitting those taxes; and (d) any information reporting required of you. You tell us the sales-tax percentage to charge and we apply exactly that percentage to every sale. We do not decide whether what you sell is taxable, and we never look up, verify, or update your rate — the number is yours. DAHTint does not determine any tax rate, hold tax money, file, or remit; makes no representation that any tax figure is correct or complete; and provides no tax advice. The prices you set are the amounts charged to your customers. We provide payment records; the tax positions taken on them are yours.

4.4 Tint law and vehicle regulations. You are solely responsible for complying with every law that governs window film, visible light transmittance, reflectivity, windshield strips, medical exemptions, certificates and stickers, and disclosures to vehicle owners, everywhere you operate. The visible-light-transmittance limits and window rules the Services enforce are the values you configure. Any default value we ship is a convenience, may be wrong or out of date, and is not legal advice and is not a representation that any configuration is lawful. You will verify every limit before you sell.

4.5 Your storefront content and business information. You are responsible for your logo, photographs, gallery images, copy, FAQ answers, service descriptions, business name, address, phone number, hours, and everything else you publish through the Services, and for keeping it accurate and lawful. You are responsible for posting on your storefront a privacy notice, terms for your customers, and any other policy the law requires of you. Where you write the policy, you are responsible for its content and accuracy. Where we generate a storefront policy for you, we do so as a convenience in your name, and your responsibility is to review it: where you can edit the policy yourself in your admin, such as your booking terms, correcting it is yours, and where you cannot, such as the storefront privacy notice, tell us what is wrong for your business and we will correct it. We will not be liable for your omission of a required policy or for non-compliance, and we do not provide legal advice about your policies.

4.6 Communications with your customers. You are responsible for the lawfulness of every message the Services send in your name, including whether each recipient may lawfully be contacted, and for maintaining any consents the law requires. If a customer asks you to stop contacting them, Section 14.6 says what to do. Section 14 sets out the authorization you give us and the rules that go with it.

4.7 Your staff and credentials. You are responsible for issuing, controlling, and revoking access within your shop, for the confidentiality of every password and PIN, and for everything done through your account. You will not share credentials outside your business. You will tell us promptly if you believe a credential has been compromised.

If anyone you let in breaches Section 9 or Section 10 — including scraping, reverse engineering, extracting data or outputs, or working on a competing tool — you are responsible for it as if you had done it yourself, and so is the individual who accepted these Terms under Section 1.4. That covers your owners, managers, employees, contractors, and agents, anyone using your credentials, PINs, or storefront admin, and anyone acting on your behalf or with your knowledge. It does not cover someone who got in without access you granted and without your knowledge — an outside attacker, or a stolen credential you did not know about. In that case, tell us promptly and revoke the access, and you have done what this Section asks of you. Section 9.15 says what we may do while we work out which of those happened.

4.8 Your Stripe account. You are responsible for your Stripe connected account: for onboarding and identity verification, for the accuracy of what you give Stripe, for Stripe's fees, for refunds, for disputes and dispute fees, for negative balances, for payouts and bank details, for reader hardware, and for everything done in your Stripe Dashboard. Section 7 sets out how DAHTint interacts with that account.

4.9 Your own legal compliance. You are responsible for your licenses and registrations, for employment and wage law, for repair-estimate and written-authorization statutes where they apply to you, for consumer-protection law, for the accessibility of the copy, images, and documents you supply, and for every other law that applies to your business. The accessibility of the storefront itself — its markup, layout, contrast, and navigation — is ours.

4.10 Prohibited and restricted businesses. You will not use the Services in connection with any business or activity on Stripe's published list of prohibited or restricted businesses, or for any unlawful purpose.

4.11 Recording payments. You will record in the Services every payment you take for a job booked or quoted through the Services, whether or not the payment was processed through DAHTint.

5. Your plan, your free 30 days, and billing

In plain terms: your first 30 days are free with no DAHTint payment fees at all, and nothing is on file. Set up billing under Money, My Plan before they end or your site goes offline until you do. Your plan bills the day the 30 days end, or the day you set up billing if that is later, then monthly on that date. Stripe's own processing fees still apply, and the optional $10 rush fee (charged only if you ask us to get your custom domain live during your free 30 days, instead of at your first payment) is the only DAHTint charge that can land inside the 30 days. Cancel any time on the Money page, once anything you owe is paid. Cancelling stops the next charge. We don't refund months already billed.

5.1 Plans and prices.

PlanMonthly priceFee on every paymentCustom domainLifetime price + rate lock
Essential$99 / month0.5%not includednot included
Signature$199 / month0.25%includedincluded
Flagship$350 / month0%includedincluded

Section 6 explains the payment fee. It applies to every payment you take through the Services, including payments you record from outside them. The payment-fee rate in this table applies once your free 30 days end; during those 30 days it is 0% on every plan (Section 5.2). You pick your plan in your account under Money, My Plan. Its price and your first bill date are shown there before you connect your bank.

5.2 Your free 30 days, and when billing starts. Your first 30 days are free. We charge you nothing for the plan during them, and the only DAHTint charge that can fall inside them is the optional $10 rush fee in Section 13.5, if you choose it. Those 30 days run from the day you complete signup and end 30 days later. You give us no plan and no bank account at signup. Any time during your 30 days you can pick a plan and connect a bank account in your account under Money, My Plan. If you have done that by the day your 30 days end, we automatically charge your plan's monthly price on that day, and we charge it again on that same date every month after that (or the last day of a shorter month), until you cancel. If you set up billing after your 30 days have ended, we charge your plan's monthly price the day you connect your bank, and on that same date every month after. If you never set up billing, Section 5.9 explains what happens: your site goes offline and you owe nothing. This is a subscription that renews automatically every month, and it continues until you cancel it under Section 5.4. Your subscription is month-to-month. There is no minimum term, no contract period, and no cancellation fee, and no startup fee other than that $10 rush fee. When you connect your bank account you authorize DAHTint to debit it for your plan's monthly price on the first bill date shown to you when you connect it, and on that same date each month after (or the last day of a shorter month), until you cancel. We will remind you by email at least 10 days before your 30 days end. If your billing is set up, that email tells you the date, the amount, and how to cancel. If it is not, it tells you that your site will go offline and how to set up billing.

During your free 30 days, DAHTint charges no payment fee at all: the fee in Section 6 is 0%, on every plan and on every payment, however you took it. It starts at your plan's rate when the 30 days end. Stripe's own processing fees still apply during your free 30 days, because those are Stripe's fees on your own Stripe account, not ours (Section 7.4).

5.3 Our guarantee. DAHTint saves you time and money. If it doesn't, don't set up billing, or cancel before your first charge, and you owe nothing beyond the optional $10 rush fee, if you chose it. The free 30 days are the guarantee; they are not a refund. Cancel any time before the 30 days end and there is no charge and no cancellation fee — the only thing you could owe from that window is that $10 rush fee (Section 13.5). Once the 30 days end and your billing is set up, your plan bills monthly at your tier price until you cancel, and we do not refund months already billed.

5.4 Cancelling. You can cancel at any time from the Money page in your account, with no phone call, no email, and no reason required. Cancelling applies once you have set up billing; if you never do, your 30 days simply run out and your site goes offline under Section 5.9. Any open balance has to be fully paid before you can cancel — while you owe us money the cancel control is refused, and Section 5.9 tells you where to pay. If you are cancelling because of a material change under Section 2.3(d), a material reduction under Section 3.6, or a price change under Section 5.7, you may cancel while a balance is open, and the balance stays payable. There is no notice period and no minimum term. Cancelling stops your next charge. Your shop keeps running through the end of the period you have already paid for, and that period is never refunded. If you cancel during your free 30 days, your shop keeps running to the end of them, nothing is charged for your plan, and nothing is owed beyond the $10 rush fee if you chose it. When your cancellation takes effect, your storefront goes dark and, under Sections 8.13 and 8.14, we have no obligation to keep your data — download your reports before you confirm. Section 18 explains the rest.

5.5 Refunds. We do not refund the current month or any past month, and we do not prorate refunds. One exception: if we terminate your subscription for convenience under Section 18.4, we refund the unused portion of the month you have already paid for, prorated by day.

Changing plans. An upgrade takes effect immediately. We credit you for the unused days on your current plan, bill you the difference for the rest of the period, and collect that difference right away from the bank account on file. A downgrade takes effect at the end of your current period — you keep what you are paying for until then, and the new, lower price starts on your next billing date. Either way your billing date does not move. During your free 30 days any plan change takes effect immediately and at no charge. Section 5.6 explains what a plan change does to a price lock, and Section 13.9 explains what it does to a custom domain.

5.6 Lifetime price and rate lock (Signature and Flagship). If your plan includes the lifetime price and rate lock marked in Section 5.1, this is what it means, and it is a binding term of these Terms: if the monthly price or the payment-fee rate of the tier you are currently paying for ever changes, yours doesn't. The lock follows the tier you currently pay for, so if you move to another tier you get that tier's terms and that tier's lock from then on. It covers the monthly plan price and the payment-fee rate in Section 5.1 as they apply once your free 30 days end, and nothing else — any future add-on, upgrade, or separate purchase is priced at whatever it costs when you buy it.

The lock ends when your subscription is terminated or cancelled. A lapse in payment that you later cure under Section 5.9 does not end it. If you re-subscribe later, you get the price in effect at that time. The lock does not transfer if you sell your business, unless we agree in writing.

This is a price lock, not a feature lock. The features and limits included in the plan may change over time. If we ever change what your plan includes in a way that materially reduces what you get, we will tell you at least 30 days before the change takes effect, and you may cancel before it does.

5.7 Price changes on plans without a lock. If we change the price of a plan that does not carry a lock, we will email you at least 30 days before the new price takes effect. The new price applies from your next billing date after those 30 days. The email will state the old price, the new price, the date it takes effect, and how to cancel. If you do not want the new price, cancel before it takes effect and you will never be charged it.

5.8 Taxes on our fees. All fees under these Terms are exclusive of taxes. If any sales, use, gross-receipts, or similar tax applies to what we charge you, you are responsible for it, except for taxes on our net income.

5.9 Failed payments. If a payment fails, we will notify you and retry. A bank account that is not usable when a charge is due is a failed payment under this Section. If the amount is still unpaid 14 days past due, we may suspend your account, which takes your storefront offline. If it is still unpaid 30 days past due, we may terminate your subscription, and we then have no obligation to keep your data (Sections 8.13 and 8.14). Your account restores once everything past due is paid — if you have more than one open bill, all of them.

While you are past due, you can pay at the /payments page, which stays reachable even when the rest of your account is dark, but you cannot change or cancel your plan until the balance is cleared (Section 5.4), except as Section 5.4 allows. Saving a new bank account on that page authorizes us to collect anything you already owe from it, along with your future charges. Nothing accrues silently: what you owe is what is shown there.

If your free 30 days end with no billing set up, your storefront and your account go offline the next day. That is not a failed payment: nothing is owed and nothing accrues. Your /payments page stays reachable. Pick a plan and connect your bank account there and your site comes back on at once, with your first bill due that day.

If you dispute or reverse a charge for our own fees, we may suspend your account immediately and recover the amount, together with any fee charged to us for the reversal. An overdue balance incurs a one-time late fee of 10% of the overdue amount, then interest at 1.5% per month (or the legal maximum if lower) until paid, plus reasonable collection costs including attorney's fees.

Any grace period or extension is at DAHTint's sole discretion and does not become a right. If your subscription is terminated and you want to come back, contact us — we will tell you what is possible and at what price; a lifetime price lock does not survive termination.

5.10 Records. We bill through Stripe. Your invoices and receipts are available in your account and by email.

6. Payment fees

In plain terms: one rate on every payment, whichever way you took the money, and nothing at all during your free 30 days. We take it off card payments automatically; the fee on payments you take outside DAHTint and record in the Services is itemized on your monthly bill. We keep our fee when you refund a customer, and disputes are yours.

6.1 The fee. Once your free 30 days end, and in addition to your monthly plan price, you pay one payment fee of 0.5% (Essential) / 0.25% (Signature) / 0% (Flagship) on every payment processed through DAHTint or recorded in the Services. The rate is the same however you took the money. Where we collect it depends on how the payment was taken:

  • (a) for a payment processed through DAHTint, the fee (the "platform fee") is charged on the amount charged and is taken out of that charge, as described in Section 6.4; and
  • (b) for a payment you take outside DAHTint — cash, check, your own card machine, or any other method recorded in the Services but not processed through them — the fee (the "external-payment fee") is charged on the amount recorded and is billed on your monthly invoice, as described in Section 6.5.

The fee is computed on the job money only, excluding any sales tax on the payment.

6.2 Nothing during your free 30 days. During your free 30 days the fee in Section 6.1 is 0%, on every plan. No platform fee is applied to any charge and no external-payment fee is recorded against you for a payment recorded during that window. Stripe's own processing fees still apply, because they are Stripe's and not ours.

6.3 Worked example. On the Signature plan, once your free 30 days have ended, a $600 job — before tax — costs you $1.50 in payment fees, whether you take the money through DAHTint or take it in cash and record it in the Services. During your free 30 days, that figure is $0.00.

6.4 How the platform fee is collected. For payments processed through DAHTint, the platform fee is applied to each charge at the time of the charge and is deducted before the remainder settles to your Stripe balance. The fee is computed on the amount charged, excluding any sales-tax amount applied to that charge (Section 6.1).

6.5 How the external-payment fee is measured and billed. When a payment taken outside DAHTint is recorded in the Services, we record the amount and the fee rate in effect at that moment, which is 0% for a payment recorded during your free 30 days. Once a month we total the recorded amounts that have not yet been billed and add the fee to your next invoice as one itemized line per rate, showing the period, the number of payments, the total recorded, the rate applied, and the fee. If your plan changed mid-month, that is why you will see more than one.

6.6 Corrections and credits (externally recorded payments). This Section applies to the external-payment fee in Section 6.1(b). If a recorded payment is corrected or reversed before the monthly total is calculated, the correction is included in that calculation. If it is corrected or reversed after, the correction is applied to your next invoice. If corrections exceed the fees owed in a period, the excess becomes a credit that reduces future invoices. Credits are never paid out to you in cash. We never charge a fee on money that did not exist. Platform fees on card payments are governed by Section 6.7 instead.

6.7 Fees on refunds and disputes. Platform fees are not returned on refunds or disputes. When you refund a customer, the full amount you refund goes back to your customer, and the platform fee on the original payment is not refunded to you.

6.8 Disputes. You are responsible for disputes and dispute fees. Because payments are direct charges on your own Stripe account, Stripe debits your account for the disputed amount and for the dispute fee, and you are the party that responds to the dispute. DAHTint does not manage, respond to, or fund disputes on your behalf.

6.9 Passing fees to your customers. Whether to build any fee into your prices, or to add a surcharge to what your customers pay, is your decision alone. If you do, you are solely responsible for complying with card-network surcharging rules, disclosure requirements, and any state law that limits or bans surcharges. DAHTint does not advise on this and takes no responsibility for it.

6.10 Rate accuracy. Your fee rate follows your plan. If we ever bill you at the wrong rate, tell us and we will correct it on your next invoice.

7. Stripe

In plain terms: Stripe processes the money on your own Stripe account. You have a direct agreement with Stripe. You authorize us to do specific things on that account for you — and you can cut us off at any time, which turns the payment features off.

7.1 Your agreement with Stripe. Payment processing services for shops on DAHTint are provided by Stripe and are subject to the Stripe Connected Account Agreement (https://stripe.com/connect-account/legal/full), which includes the Stripe Terms of Service (https://stripe.com/legal/ssa) (collectively, the "Stripe Services Agreement"). By agreeing to these Terms, or by continuing to operate as a shop on DAHTint, you agree to be bound by the Stripe Services Agreement, as it may be modified by Stripe from time to time. As a condition of DAHTint enabling payment processing services through Stripe, you agree to provide DAHTint accurate and complete information about you and your business, and you authorize DAHTint to share it, and transaction information related to your use of the payment processing services provided by Stripe, with Stripe.

7.2 What DAHTint does on your Stripe account, and your authorization. You authorize DAHTint to do the following on your Stripe connected account, on your behalf, for as long as your subscription is active:

  • (a) create your connected account and start Stripe's hosted onboarding for you;
  • (b) read your account's status, capabilities, and verification requirements;
  • (c) create Checkout Sessions and PaymentIntents for deposits, balances, invoices, and custom services, using the prices and settings you configure;
  • (d) set DAHTint's platform fee on those charges at the rate for your plan (Section 6);
  • (e) create Terminal locations and register, configure, and drive in-person card readers on your account;
  • (f) create and archive tax-rate records on your Stripe account matching the sales-tax percentage you set in your admin panel, and apply that rate to charges we create;
  • (g) read payment, refund, fee, and tax data from your account in order to display it to you, produce your records and reports, and operate the Services; and
  • (h) share the information described in Section 7.1 with Stripe.

You may withdraw this authorization at any time from your own Stripe Dashboard. We will not access your Stripe data or take any action on your account beyond what you have authorized, and we will stop if you withdraw the authorization.

7.3 Stripe holds your data too. When you provide personal data in connection with Stripe onboarding, Stripe receives that personal data and processes it in accordance with Stripe's Privacy Policy (https://stripe.com/privacy). Stripe collects and maintains your identity-verification information directly. DAHTint never receives or stores your bank details or your identity-verification file.

7.4 Stripe's fees are yours. Stripe's processing fees, dispute fees, Terminal fees, and any other Stripe charges are billed to your account by Stripe and are your responsibility. They are separate from, and in addition to, DAHTint's fees.

7.5 Card readers. You buy card readers from Stripe on your own Stripe account, under Stripe's Terminal Purchase Terms as posted at the time of your order. DAHTint does not sell, resell, rent, lease, or supply hardware, provides no hardware warranty, and is not responsible for delivery, defects, returns, or loss. Title and risk of loss pass to you on delivery from Stripe. You will register each reader through DAHTint so that it operates on your account, and you will not register readers separately in a way that bypasses the Services. You will keep reader software up to date; if we notify you that Stripe has issued a mandatory update, you will install it by the deadline stated in the notice, or within 30 days of our notice if no deadline is stated. You will physically safeguard your readers, keep each reader registered to its actual location, and allow only trained personnel to operate them.

7.6 Sales tax rate. The sales-tax percentage the Services apply is the single rate you enter in your admin panel. We create the matching tax-rate record on your Stripe account and apply exactly that percentage to every sale, including payments you record as taken outside DAHTint. We do not look up, verify, or update your rate. Section 4.3 governs.

7.7 If you disconnect us. You may revoke DAHTint's access to your Stripe account at any time. If you do, every payment feature of the Services stops working immediately. That means no deposits, no invoices, no readers, and no new card payments — the money history already in your account stays there and your reports still run — and we may suspend or terminate your subscription under Section 18. Fees you have already accrued remain payable. Reconnecting may require a new Stripe account, and payment history may be split between accounts. That is a limitation of Stripe's platform, not something DAHTint can undo.

7.8 Not a payment processor. DAHTint is not a payment processor, money transmitter, or bank. Stripe is the sole provider of payment processing services to you. You are the merchant on your Stripe account and are responsible for PCI DSS compliance in your environment; DAHTint does not receive, store, or transmit cardholder data.

8. Your data

In plain terms: your customer records are yours. We host and process them for you as your service provider, we protect them, and we don't sell them. You can download your reports any time you're subscribed, and ask us for anything else you need. When you leave, we don't promise to keep your data — so get it out before you go. We do use anonymous, aggregated data to run and improve the product.

8.1 Ownership. As between you and DAHTint, you own the data you and your customers put into the Services — your customer records, bookings, quotes, prices, settings, content, and uploads ("Shop Data"). Shop Data that identifies a person is "Shop Personal Data."

8.2 The license you give us. You grant DAHTint a non-exclusive, worldwide, royalty-free license to host, store, copy, transmit, display, back up, index, and otherwise process Shop Data solely to provide, secure, support, and improve the Services for you, and as Section 8.3 permits. This license ends when the data is deleted, except that it continues for the records we retain under Section 8.14 and only for as long as we retain them. We may delete uploads that are no longer referenced by your storefront configuration. We do not license Shop Data to anyone else, we do not sell or share it, and we receive no consideration for it.

8.3 De-identified and aggregated data, and your confidential information. We may create and use de-identified and aggregated data derived from use of the Services to operate, secure, troubleshoot, analyze, and improve the Services and to develop new features. We will not use or disclose that data in any way that identifies you, your business, or any of your customers. We do not use Shop Personal Data to train artificial-intelligence or machine-learning models without your written instruction.

"Shop Confidential Information" means your non-public business information in the Services — your customer list, their contact details and vehicles, your pricing setup and margins, your calendar and job history, your revenue and payment history, and your Stripe account details. It is all Shop Data under Section 8.1. We will not disclose Shop Confidential Information to anyone except as you instruct, as these Terms permit, or as the law requires, and we will not use it for anything but providing and improving the Services for you. The outputs the Services generate — quotes, prices, and the other material listed in Section 9.5 — are DAHTint's Confidential Information under Section 9.5, and Section 9.6 governs what you may do with them.

8.4 Roles. For Shop Personal Data, you are the controller (and, under California law, the "business") and DAHTint is the processor (and "service provider"). We process Shop Personal Data only on your documented instructions. These Terms, together with the settings and configuration you choose in the Services, are your complete instructions. We will tell you if we believe an instruction requires us to violate the law.

8.5 Purpose limitation. We will not retain, use, or disclose Shop Personal Data for any purpose other than the business purposes specified in these Terms, will not use it outside our direct business relationship with you, and will not combine it with personal information from other sources except as permitted by law for a service provider.

8.6 Confidentiality of your data. Everyone who processes Shop Personal Data for DAHTint — including our personnel and contractors — is bound by a duty of confidentiality.

8.7 Subprocessors. We use third-party providers to deliver the Services, currently including payment processing (Stripe), email delivery (Postmark), hosting, edge delivery, images, DNS, and domain registration (Cloudflare), database, storage, and application hosting (Supabase), review data (DataForSEO), business-listing search (Google), browser push delivery to your staff's devices (Apple, Google, and Mozilla), and product analytics on dahtint.com (PostHog). The current list is published at dahtint.com/subprocessors. We will give you at least 15 days' notice before a new subprocessor starts processing Shop Personal Data, and you may object by writing to support@dahtint.com within those 15 days; if we cannot resolve your objection, you may cancel your subscription without penalty, on the terms in Section 5.4. We contract with every subprocessor on terms that meet applicable data-protection law, and we remain responsible for their acts and omissions in processing Shop Personal Data, subject to Section 16.

8.8 Security. We will maintain reasonable administrative, technical, and physical measures designed to protect Shop Data against unauthorized access, use, disclosure, alteration, and destruction, appropriate to the nature of the data and the size of our business. We do not warrant that the Services or any data will be free from unauthorized access. No system is perfectly secure. You are responsible for the security of your own devices, networks, and credentials, and for who inside your business has access to what. You will not enter into the Services any health, biometric, government-identifier, or other sensitive personal information; the Services are not designed or offered for it.

8.9 Security incidents. If we confirm a security incident affecting Shop Personal Data, we will notify you without undue delay, and in any event within 72 hours of confirming it, and will give you the information reasonably available to us so that you can meet your own obligations. You are responsible for determining whether notice to individuals or regulators is required and for issuing it. We will cooperate with you and give you reasonable assistance in that process at no additional charge.

8.10 Helping with privacy requests. We will provide reasonable assistance so that you can respond to your customers' access, deletion, correction, and portability requests. If a request reaches us directly, we will forward it to you and will not act on it ourselves. We will also provide the information you reasonably need for a data-protection assessment and to demonstrate your compliance. If we determine we can no longer meet our obligations under this Section, we will tell you.

8.11 Showing our work. On request, no more than once every twelve months, we will provide a written summary of our security practices, or a report of an independent assessment against a recognized framework if we have one. An on-site or third-party audit is available only where there is a documented reason to believe we have breached this Section, on 30 days' notice, at your expense, and subject to reasonable confidentiality and scope limits.

8.12 Export while you are subscribed. You can download your reports from the Services at any time while your subscription is active — the summary, money, and jobs reports on the Money page. Anything else you want out — your customer list, your quotes, your bookings, your settings — ask us and we will get it to you. Both lanes run while you are subscribed. Do it before you leave.

8.13 Your data when you leave. When your cancellation takes effect, or when your subscription is terminated, your storefront goes dark and your access to the Services ends. From that day, DAHTint has no obligation to maintain, store, or make available any Shop Data — customers, quotes, bookings, content, and settings — and may delete it at any time without notice. There is no post-termination export window. You are responsible for downloading your reports and getting anything else you want to keep before you cancel; once your cancellation takes effect, we do not promise that any data can be retrieved. While subscribed, you can always ask us for a copy of your data under Section 8.12.

8.14 What we keep. We retain records we are required to keep by law, and records we need for our own financial, tax, accounting, security, and legal purposes — the payment ledger, records of any dispute between you and DAHTint, tax records, email delivery logs, your acceptance records under Section 2.2, and the usage and enforcement logs described in Sections 9.9 and 9.15. We also retain de-identified and aggregated data created under Section 8.3. Anything subject to a legal hold or an open investigation is retained until the hold or investigation ends, whatever this Section otherwise says. Encrypted backups roll off on our hosting provider's normal cycle.

8.15 Your privacy compliance. You are responsible for your own compliance with privacy law as to your customers — for your privacy notice, for any consent you need, and for honoring your customers' rights. Where we generate a storefront privacy notice in your name, we do so as a convenience; you remain responsible for reviewing it and for its accuracy.

8.16 Nothing here reduces the law. Nothing in this Section relieves either party of its own obligations or liabilities under applicable privacy law. If any term of this Section conflicts with another term of these Terms as to personal data, this Section controls.

9. Our property, your license, and your obligations

In plain terms: the product is ours. You get a license to run your shop with it — not to take it apart, measure it, copy it, or hand it to a competitor. What's inside it is confidential, permanently. We watch for this, and we act on it.

9.1 Ownership. DAHTint owns, and retains all right, title, and interest in, the Services and everything in them, including: the software, source code, and architecture; the pricing and quoting engine, its logic, coefficients, waste and markup factors, labor-time values, rate boards, multipliers, and constants (in each case the values DAHTint supplies, computes, or embeds — not the settings you configure, which are Shop Data under Section 8.1); the vehicle and window-geometry data, measurements, and datasets; all compilations, structures, and arrangements of the foregoing; the templates, layouts, themes, designs, copy, and documentation; the DAHTint name, logo, and other marks; and every improvement, modification, and derivative work of any of it. Nothing in these Terms transfers any of that to you.

9.2 Your license. We grant you a limited, non-exclusive, non-transferable, non-sublicensable license, revocable in accordance with Section 18, to access and use the Services during your subscription, solely to operate your own tint and vehicle-appearance business. Any use outside that license is a breach of these Terms and infringes our rights.

9.3 Competitors. You represent and warrant that you are not, and are not acting on behalf of or for the benefit of, any person or business that develops, markets, sells, or is building a vehicle window-tint quoting, pricing, estimating, or booking product, or any product competitive with the Services, where that product uses, incorporates, is based on, or is derived from the Services, DAHTint's Confidential Information, or any output of the Services. Building a competing product from scratch, without using or referring to any of that, is governed by Section 10.2 and is not a breach of this representation. If we reasonably believe an account is being used for competitive intelligence, or if this representation is or becomes untrue, we may suspend or terminate it immediately. Breach of this representation does not void these Terms: Sections 9, 10, and 11 remain fully binding on you. If you are acquired by, merge with, or otherwise come under common control with such a business, you will tell us promptly and we may terminate.

9.4 What you will not do. You will not, and will not permit or assist any person to:

  • (a) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, structure, or underlying ideas of the Services, except to the minimum extent a law expressly permits despite this restriction;
  • (b) measure, benchmark, analyze, derive, approximate, or reconstruct — by any means, direct or indirect — DAHTint's pricing model, its logic, coefficients, waste or markup factors, labor-time values, rate boards, or the underlying vehicle or window-geometry data;
  • (c) access the Services by any automated means — bots, scripts, crawlers, scrapers, headless browsers, or API clients — other than the interfaces we expressly authorize in writing. This does not reach search-engine indexing of, or ordinary visitor access to, your own public storefront;
  • (d) bulk-extract data or outputs beyond the exports and reports the Services themselves provide to you for your own Shop Data;
  • (e) circumvent, or attempt to circumvent, any rate limit, access control, authentication, or abuse-prevention measure;
  • (f) publish or disclose benchmarks, performance analyses, or comparative studies of the Services, or DAHTint's constants, coefficients, geometry values, non-public screens, or outputs as a dataset — this does not reach a review or an opinion you publish about the Services, including a comparison to another product you have used, so long as you are not publishing DAHTint's constants, coefficients, geometry values, non-public screens, or a dataset of outputs. This does not reach a disclosure Section 9.6 permits;
  • (g) use the Services or any output of the Services to develop, train, calibrate, evaluate, or improve any pricing model, dataset, algorithm, artificial-intelligence system, or product — other than your own prices, settings, and quotes within the Services;
  • (h) share credentials, resell, sublicense, time-share, or make the Services available to anyone outside your business; or
  • (i) remove, obscure, or alter any proprietary, confidential, or copyright notice in the Services or in anything they produce.

Nothing in this Section 9.4 restricts you from expressing your opinion about the Services, from reviewing them publicly, or from disclosing information where the law requires it.

9.5 Confidential Information. "Confidential Information" means the non-public information you learn through the Services, including: the behavior, logic, and internals of the pricing and quoting engine; its constants, coefficients, waste and markup factors, labor-time values, and rate boards; the vehicle and window-geometry data and measurements; non-public features, screens, roadmaps, and documentation; security measures; and any compilation, dataset, or derivative consisting of quotes, prices, or other outputs generated by or through the Services, whether obtained individually or in aggregate. The published prices of DAHTint's own plans are not Confidential Information.

9.6 Your confidentiality obligation — perpetual. You will not disclose Confidential Information to any third party, and will not use it for any purpose other than operating your own business. You will protect it with at least reasonable care. These obligations have no expiration date and continue after your subscription ends. They do not apply to information that is or becomes public through no act or omission of yours, that you already lawfully held without a duty of confidence, or that you independently developed without reference to Confidential Information. You may also disclose Confidential Information to your accountant, attorney, insurer, lender, or a prospective buyer of your business, in each case under a duty of confidentiality at least as protective as this Section. If the law compels disclosure, you will give us prompt notice where you lawfully can and disclose only what is required. Nothing in this Section stops you from giving your customers, or anyone requesting a quote from you, the quotes, prices, bookings, receipts, invoices, and other outputs the Services generate for them in the ordinary course of running your shop, or from advertising the prices you charge.

9.7 Flow-down. You will bind every owner, employee, contractor, and agent who is given access to the Services to confidentiality and use restrictions at least as protective as Sections 9.4 through 9.6, and you are responsible for their compliance. Section 4.7 says what happens if one of them breaches Section 9 or Section 10: it counts against you, and against the individual bound under Section 1.4, as if you had done it — unless the person had no access you granted and you did not know about it.

9.8 Trade-secret acknowledgment. You acknowledge that DAHTint's pricing model, coefficients, waste and markup factors, labor-time values, and vehicle and window-geometry data are trade secrets under the federal Defend Trade Secrets Act and the Idaho Trade Secrets Act, that they derive independent economic value from not being generally known, that DAHTint takes reasonable measures to keep them secret, and that your access is granted in reliance on your obligations in this Section 9.

9.9 Logging and monitoring. DAHTint logs and monitors use of the Services — including request patterns, timestamps, accounts, input sequences, quote volumes, and network identifiers where our providers record them — for security, abuse prevention, capacity, support, and enforcement of these Terms. Section 9.15 sets out your consent to this and the status of those logs.

9.10 Compliance certification. On reasonable written notice, and no more than once in any twelve-month period unless we reasonably believe there has been a breach, you will certify in writing that you are complying with Sections 9 and 10 and will identify any outputs of the Services you have exported outside the Services, other than the reports the Services provide to you.

9.11 Free trials. A free trial — your free 30 days under Section 5.2 — is made available to tint and vehicle-appearance shops for their own business use only. One free trial per shop, location, and owner. If you take another, we may charge the full plan price for it and terminate under Section 18.5 without a cure period. We may refuse a free trial, or end one early, if we reasonably believe it is being used to evade that limit or to abuse the Services.

9.12 Your feedback. If you give us ideas, suggestions, or feedback about the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or obligation to you. We will not identify you as the source without your permission.

9.13 Revocation of authorization. On termination or suspension of your account, your authorization to access the Services is revoked in its entirety as to the non-public parts of the Services, and any subsequent access is unauthorized.

9.14 These Terms cover all access. Sections 9, 10, and 11 govern all access to and use of the Services, whether or not you are signed in, and survive termination of these Terms and of your account.

9.15 Enforcement if we suspect probing or extraction. If DAHTint reasonably believes that you, or any individual using your credentials, are probing, extracting, scraping, or otherwise breaching Section 9 or Section 10, DAHTint may do any or all of the following immediately, with such notice as is practical, and without refund of any fee, except as Section 18.3 provides:

  • (a) suspend your account and every user on it;
  • (b) disable exports and reports on your account;
  • (c) preserve and review usage logs and related records;
  • (d) require you to provide, within 10 days of our written request, a written account of the activity and a written certification that any material derived from the Services in breach of Section 9 or Section 10 has been destroyed;
  • (e) assert its claims under Section 11;
  • (f) terminate your subscription under Section 18.5; and
  • (g) seek injunctive and other equitable relief under Sections 11.1 and 19.6.

You, and each individual using your credentials, consent to DAHTint logging and monitoring use of the Services for these purposes, agree that those logs are records kept in the ordinary course of DAHTint's business and are admissible as evidence, and agree to cooperate with the investigation. Reinstatement after a suspension under this Section is at DAHTint's discretion. Nothing in this Section limits any other right or remedy, and DAHTint's exercise or non-exercise of any of these steps is not a waiver of any other.

10. Derived-material covenant

In plain terms: you can leave and use anyone else's software. What you can't do — for two years after you leave — is help build a competing product out of ours.

10.1 The covenant. During your subscription, and for twenty-four (24) months after it ends (that period, as it may step down under Section 10.4, the "Restricted Period"), you will not, directly or indirectly, develop, fund, own, operate, or materially assist in the development of any product or service that competes with the Services — including any automated vehicle-tint quoting, pricing, estimating, or booking product — where doing so uses, incorporates, is based on, or is derived from the Services, DAHTint's Confidential Information, or any output of the Services. "Derived from" expressly includes reproducing or approximating the Services' pricing structure, logic, multipliers, coefficients, labor-time values, geometry data, or outputs from what you observed while using them, however that observation was recorded.

10.2 What this does not restrict. This Section does not stop you from competing generally, from switching to a competitor's software, from buying, using, or recommending any other vendor's product, from building or commissioning your own tools from scratch without using or referring to the Services or Confidential Information, or from continuing to run your tint business in any way you like. Leaving DAHTint for another product is not a breach of this Section.

10.3 Why this is here. You acknowledge that DAHTint has a legitimate business interest in protecting its technologies, intellectual property, business processes and methods of operation, and trade secrets, including the calibration work, measurements, and datasets behind the pricing engine, which represent a substantial and sustained investment; that the value of that material depends on it not being held by a competitor; and that this covenant is reasonable in duration, scope, and geography because it restricts only the use of DAHTint's own material and does not restrict competition as such. Because it is a use restriction rather than a market restriction, it applies wherever you are.

10.4 Step-down. The Restricted Period is twenty-four (24) months. If a court or arbitrator determines that twenty-four (24) months is unenforceable, the Restricted Period is eighteen (18) months; if that is unenforceable, twelve (12) months; if that is unenforceable, six (6) months. The parties intend each tier to be an independent covenant, severable from the others, so that a tribunal may enforce a lesser tier by striking a greater one.

10.5 Reformation. If any part of Sections 9 or 10 is held overbroad or unenforceable, the parties intend that it be modified and enforced to the maximum extent permitted by law rather than struck, and each restriction is severable from every other.

11. Remedies for Sections 9 and 10

In plain terms: if you take the engine or hand it to a competitor, we can go straight to court for an injunction, take back what you gained, and recover our legal fees.

11.1 Irreparable harm. You acknowledge that a breach or threatened breach of Section 9 or Section 10 would cause DAHTint irreparable harm for which money damages would be an inadequate remedy. DAHTint is entitled to seek temporary, preliminary, and permanent injunctive and other equitable relief without the necessity of proving actual damages and, to the extent permitted by law, without posting a bond or other security, in addition to every other remedy available.

11.2 Money remedies. DAHTint may recover its actual damages and disgorgement of any benefit you obtained from the breach, or, where the law allows, a reasonable royalty in lieu of either. DAHTint may also pursue every remedy available under the federal Defend Trade Secrets Act (18 U.S.C. §§ 1836 et seq.) and the Idaho Trade Secrets Act (Idaho Code §§ 48-801 et seq.), including exemplary damages of up to twice the award for willful and malicious misappropriation, and attorney's fees where those statutes allow.

11.3 What DAHTint may recover. The parties acknowledge that harm from a breach of Section 9 or Section 10 is real, because the value of DAHTint's calibration data and pricing model derives from its secrecy, because DAHTint's pricing power depends on no competitor holding equivalent measurements, and because the loss materializes as price erosion across an unknown number of prospective customers. For a breach of Section 9 or Section 10, DAHTint may recover its actual damages, including lost profits and the diminution in the value of DAHTint's business. The parties agree that the projected value of DAHTint's business, before and after the breach, is an admissible measure of that diminution. DAHTint may also recover disgorgement of any benefit you obtained from the breach, and statutory exemplary damages where the Defend Trade Secrets Act or the Idaho Trade Secrets Act allows them (Section 11.2). These are in addition to, and do not limit, DAHTint's rights to injunctive and other equitable relief under Section 11.1 and to attorney's fees and costs under Section 11.4. Nothing in this Section permits DAHTint to recover the same loss twice.

11.4 Attorney's fees. In any action or arbitration arising out of or relating to these Terms, the prevailing party is entitled to recover its reasonable attorney's fees and costs. This is mutual, applies in arbitration as well as in court, and is in addition to any entitlement under Idaho Code § 12-120(3) or any other law.

11.5 Cumulative. Every remedy in this Section is cumulative and in addition to every other remedy at law or in equity, except as Section 11.3 provides.

11.6 Survival. Sections 9, 10, and 11 survive termination of these Terms and of your account, without time limit. Section 10.4 sets the length of the Restricted Period in Section 10.1; it does not limit the survival of Sections 9 or 11.

12. Acceptable use and your content

In plain terms: use it lawfully, post only what you have the right to post, and don't do anything that puts us or other shops at risk. We may name you as a customer in our own marketing until you tell us not to.

12.1 Lawful use. You will use the Services only for lawful purposes and in compliance with these Terms. You will not use the Services to: break any law; infringe anyone's intellectual property, privacy, or publicity rights; defame or harass; transmit malware or interfere with the Services or anyone else's use of them; attempt to access another shop's data or any part of our systems you are not authorized to access; misrepresent your identity or your business; or operate any prohibited or restricted business under Section 4.10.

12.2 No card data in free text. You will never enter card numbers, security codes, or other payment credentials into notes, job descriptions, messages, or any field that is not a payment field. Notwithstanding Section 12.5, we may delete such content without notice.

12.3 Permission to use your content. You give DAHTint permission to host, store, display, and transmit the content you upload — logos, photographs, gallery images, copy, and business information — only to operate your storefront and the Services for you. The permission ends when the content is removed or deleted. The content stays yours, and you are responsible for it. DAHTint takes no other rights in it.

One narrow exception: while you are subscribed, we may name you as a DAHTint customer and show your business name, logo, and storefront in our own marketing. Tell us to stop and we will, and we will not use your customer photos, gallery images, or any customer information this way.

12.4 Your representations about content. You represent and warrant that you own or have all necessary rights to the content you upload; that publishing it does not infringe or violate anyone's rights; that you have any consent required from people appearing in photographs or from owners of vehicles shown; and that the business information you publish is accurate.

12.5 Removal. We may remove or disable content that we reasonably believe violates these Terms, infringes someone's rights, or creates legal risk. We will tell you when we do, unless the law prevents us.

12.6 Complaints about your content. You are solely responsible and liable for the content you publish through the Services, including any claim that it infringes someone's copyright, trademark, or other rights. If we receive a complaint or notice about content on a site we host, we may remove or disable that content, and we will tell you when we do, unless the law prevents us. Removing content does not make DAHTint responsible for it, and it does not limit your obligations under Section 12.4 or your indemnity under Section 17. We have a designated agent registered with the U.S. Copyright Office. Copyright infringement notices and counter-notices under 17 U.S.C. § 512 may be sent to our legal notices address in Section 1.1. We respond to valid notices by removing or disabling the identified content and notifying you, and we terminate the accounts of repeat infringers in appropriate circumstances.

13. Domains

In plain terms: you get a subdomain on dahtint.com. On the plans that include one, we register a custom domain and own it, and we run it for you while you're subscribed; it comes down if you move to a plan that doesn't include one. If you leave and want the domain, ask us.

13.1 Your subdomain. We license you the right to use a subdomain of dahtint.com in the form yourlabel.dahtint.com while your subscription is active. We choose or approve the label; we may reserve labels; and you may not select or use a label that infringes a trademark, impersonates another business, or is misleading, offensive, or unlawful. The subdomain remains DAHTint's property and your right to use it ends when your subscription ends.

13.2 Custom domains. On plans that include a custom domain, we will register a domain name at your request. DAHTint is the registrant and owner of that domain. We license you the use of it while your subscription is active, and we manage it for you. Your right to use it ends when your subscription ends.

13.3 Your representations. You represent that you have the right to use the name you choose and that registering and using it does not infringe anyone's trademark or other rights. You will indemnify DAHTint against any claim arising from your choice of domain name, including any UDRP proceeding or claim under the Anticybersquatting Consumer Protection Act.

13.4 DNS and operation. We manage DNS, certificates, and routing for your domain while your subscription is active. You will not change nameservers or DNS records for a domain we manage without telling us first, since doing so will take your site offline.

13.5 Renewals and fees. Your custom domain's registration and renewals are included with your subscription while you're on a plan that includes one. The only domain charge is the optional $10 rush fee if you choose expedited registration during your free 30 days. We aim to have a rushed domain live within 7 days. The rush option is available on Signature and Flagship, and only once you have a bank account on file.

13.6 When you leave. If you cancel and want your custom domain, reach out to us — domain transfers are handled case-by-case at our discretion, and we will not unreasonably refuse a request.

13.7 What we will never do. We will not sell or transfer your domain to a third party, or use it for our own benefit or a competitor's.

13.8 Redirects after removal. Where a custom domain comes down, we may maintain redirects from it to your yourlabel.dahtint.com subdomain, for a reasonable period and while that subdomain is still active, so that existing links, emails, and search results do not break.

13.9 If your plan changes. A custom domain comes with the plans marked in Section 5.1. If you move to a plan that does not include one, your custom domain comes down and your storefront goes back to your yourlabel.dahtint.com subdomain. We do not delete the registration during its term, and you can ask for it under Section 13.6; moving back up to a plan that includes a custom domain does not automatically put it back — tell us and we will set it up again.

14. Communications we send on your behalf

In plain terms: our emails go to your customers with your name on them, because you tell us to. That permission is what makes it lawful. The messages have to stay honest and the structure is ours.

14.1 Your authorization. You appoint DAHTint as your service provider and expressly authorize DAHTint to send communications to your customers on your behalf and in your name — booking confirmations, reschedule notices, appointment reminders, ready-for-pickup notices, receipts, statements and invoices, job-update notices, cancellation notices, and review requests — using your business name as the sender name, with replies going straight to your email address, and your business address and phone number in the message footer. Our sending address is the return path.

14.2 Express permission for your name. You expressly grant DAHTint written permission to use your business name as the sender name of those messages, and your email address as the address replies go to. Our own sending address is the return path. This permission is given knowingly and specifically, and continues for as long as your subscription is active.

14.3 Roles. You acknowledge that, for any message that promotes your services, you are the "sender" and DAHTint is an "initiator" within the meaning of the CAN-SPAM Act (15 U.S.C. §§ 7701 et seq.). You are responsible for the accuracy of your business name, physical address, phone number, and other identifying information, and for the lawfulness of contacting each recipient.

14.4 The customer relationship is yours. You have the relationship with each recipient. You are responsible for the underlying service, for any warranty, and for any dispute with the customer arising from a message we send in your name.

14.5 Template structure is ours. DAHTint controls the legal structure of the message templates, including subject lines and the ordering of content — in particular, that transactional content leads and any review request follows it. You will not modify, reorder, or instruct us to send messages in a way that breaks that ordering, and any editing tools we give you operate within it.

14.6 No unsolicited commercial messages. You will not use the Services to send unsolicited commercial email or messages, to purchased or rented lists, or to anyone who has asked you to stop. You will not repurpose transactional messaging to send marketing. If a customer asks you to stop, tell us which customer and we will stop sending to them. These obligations survive the closing, suspension, or termination of your account.

14.7 No incentivized or gated reviews. You will not offer payment, discounts, free goods or services, or any other benefit in exchange for a review; will not condition a review request on the customer's satisfaction; will not write or solicit fake reviews; and will not use the Services to suppress or discourage honest reviews.

14.8 Our review of your content is not approval. If we review, approve, or configure any template, campaign, notice, or workflow for you, that does not transfer legal responsibility for its use to DAHTint.

15. Third-party services, and no guarantees

In plain terms: parts of this run on other companies' systems that we don't control, and the whole thing is provided as-is. We don't promise you'll make more money. Support is by email, and we'll do our best.

15.1 Third-party services. The Services depend on third parties, including Stripe, Postmark, Cloudflare, Supabase, Google, DataForSEO, domain registrars, and browser push services operated by Apple, Google, and Mozilla. We do not control them. Their outages, changes, price increases, policy changes, suspensions, and terminations can degrade or interrupt the Services, and we are not responsible for them. Where a third party's terms apply to you, you will comply with them. Google Maps content, Google Business Profile data, and review data are provided subject to those providers' own terms and policies.

15.2 Beta features. Features we label beta, preview, early access, or experimental are part of the Services but are provided for evaluation only. They are Confidential Information, carry no warranty, and may be changed or discontinued at any time.

15.3 AS-IS. THE SERVICES, INCLUDING ALL SOFTWARE, DATA, QUOTES, PRICES, ESTIMATES, REPORTS, TEMPLATES, AND OUTPUTS, ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, DAHTINT AND ITS SUPPLIERS, LICENSORS, AND SERVICE PROVIDERS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, AND STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

15.4 SPECIFIC DISCLAIMERS. WITHOUT LIMITING SECTION 15.3, DAHTINT DOES NOT WARRANT THAT: THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; DEFECTS WILL BE CORRECTED; ANY QUOTE, PRICE, DURATION ESTIMATE, TAX FIGURE, OR OTHER OUTPUT WILL BE ACCURATE, COMPLETE, PROFITABLE, OR SUITABLE FOR ANY PARTICULAR JOB; ANY DATA WILL BE ACCURATE OR PRESERVED WITHOUT LOSS; ANY MESSAGE WILL BE DELIVERED; OR THAT YOUR USE OF THE SERVICES WILL COMPLY WITH ANY LAW APPLICABLE TO YOUR BUSINESS. This Section does not apply to the notices we commit to send under these Terms, including the reminder email in Section 5.2, the change notices in Sections 2.3, 3.6, 5.6, and 5.7, and the security-incident notice in Section 8.9. We will send those to your account email address.

15.5 NO BUSINESS OUTCOME IS PROMISED. DAHTINT DOES NOT GUARANTEE, AND MAKES NO REPRESENTATION ABOUT, ANY REVENUE, PROFIT, MARGIN, BOOKING VOLUME, CONVERSION RATE, SEARCH RANKING, REVIEW COUNT OR RATING, REDUCTION IN NO-SHOWS, EFFICIENCY, GROWTH, OR OTHER BUSINESS OUTCOME. THE GUARANTEE IN SECTION 5.3 IS THE ONLY GUARANTEE DAHTINT MAKES ABOUT RESULTS. Our commitments about price in Sections 5.6 and 5.7 are separate and are not affected by this Section. The free 30 days are the guarantee: if the Services do not save you time and money, cancel before your first charge and you owe nothing beyond the optional $10 rush fee, if you chose it. They are not a refund, and Section 5.5 governs refunds. Business results depend on your prices, your work, your market, and your execution.

15.6 Support. You can reach us at the email address in Section 1.1. We will use reasonable efforts to answer and to help, during ordinary business hours in Boise, Idaho. We do not commit to a response time, and Sections 15.3 and 15.4 still apply. Flagship accounts are answered first.

16. Limitation of liability

In plain terms: neither of us is on the hook for indirect losses, and our money exposure to each other is capped — except for the things that shouldn't be capped, like your payment obligations, your indemnities, and misuse of our product.

16.1 EXCLUSION OF INDIRECT DAMAGES. EXCEPT FOR THE EXCLUDED CLAIMS IN SECTION 16.3, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST GOODWILL, LOST OR CORRUPTED DATA, OR BUSINESS INTERRUPTION, HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

16.2 CAP. EXCEPT FOR THE EXCLUDED CLAIMS IN SECTION 16.3, EACH PARTY'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS AND THE SERVICES, INCLUDING ANY BETA FEATURE, WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID DAHTINT IN THE TWELVE (12) MONTHS IMMEDIATELY BEFORE THE FIRST EVENT GIVING RISE TO LIABILITY, OR (B) ONE THOUSAND DOLLARS ($1,000). THIS IS AN AGGREGATE CAP. MULTIPLE CLAIMS DO NOT ENLARGE IT. As used in Sections 15 and 16, "DAHTint" also means its owners, personnel, contractors, suppliers, licensors, and service providers.

16.3 EXCLUDED CLAIMS. Sections 16.1 and 16.2 do not apply to, and do not limit: (a) your breach of Section 9, Section 10, or Section 12.1; (b) your payment obligations under Sections 5 and 6; (c) your indemnification obligations under Section 17; (d) either party's fraud, gross negligence, or willful misconduct; and (e) any liability that cannot be limited or excluded under applicable law.

16.4 Basis of the bargain. You acknowledge that the fees for the Services reflect this allocation of risk and that DAHTint would not provide the Services on these prices without it.

16.5 No shortened deadline to sue. These Terms do not shorten the time within which either party may bring a claim. Each party retains the full limitations period the law provides.

17. Indemnification

In plain terms: if something about your business, your customers, your prices, your taxes, or your Stripe account causes someone to come after us, you cover us. Going the other way: if someone claims our software itself infringes their patent, copyright, or trademark, we defend you, up to the cap in Section 16.

17.1 Your indemnity. You will defend, indemnify, and hold harmless DAHTint and its owners, personnel, and contractors from and against any third-party claim, demand, action, proceeding, investigation, fine, or penalty, and all resulting losses, damages, liabilities, settlements, costs, and reasonable attorney's fees, arising out of or relating to the following, except to the extent a claim arises from DAHTint's gross negligence or willful misconduct:

  • (a) your business, the services you sell, the work you perform, and any warranty you give;
  • (b) your customers, their vehicles, and any dispute with them, including any claim about damage, workmanship, delay, cancellation, deposit, or refund;
  • (c) your content, uploads, photographs, and business information, and any claim that they infringe or violate someone's rights;
  • (d) your prices, quotes, pricing settings, and the amounts you charge;
  • (e) taxes on your sales, including any assessment, interest, or penalty, and any claim arising from your tax positions or your failure to register, collect, file, or remit;
  • (f) your compliance or non-compliance with tint, vehicle, repair-estimate, licensing, employment, accessibility (other than the storefront accessibility DAHTint assumes in Section 4.9), or consumer-protection law;
  • (g) communications sent in your name under Section 14, and any claim under CAN-SPAM, the Telephone Consumer Protection Act, a state anti-spam or consumer-protection statute, or any review, endorsement, or advertising rule;
  • (h) your Stripe account and everything on it, including refunds, chargebacks, disputes, negative balances, and any fine, penalty, loss, or cost assessed on DAHTint by Stripe, a card network, a financial institution, or a regulator because of your activity, your customers' activity, or your breach of the Stripe Services Agreement;
  • (i) your choice and use of a domain name (Section 13.3);
  • (j) your privacy notices, consents, and handling of your customers' personal information; and
  • (k) your violation of these Terms or of any law.

17.2 Procedure. We will notify you promptly of a claim (a delay does not relieve you except to the extent it prejudices your defense), give you sole control of the defense with counsel reasonably acceptable to us, and cooperate at your expense. You will not settle a claim in a way that imposes any obligation or admission on DAHTint without our written consent. We may participate with our own counsel at our own cost. If you do not promptly assume the defense of a claim we tender to you, we may defend it ourselves, at your expense, and settle it on reasonable terms.

17.3 Our indemnity, and its limits. DAHTint will defend you against a third-party claim that the Services, as we provide them, infringe a United States patent, copyright, or trademark, and will pay the damages finally awarded or the settlement we agree to — subject to the cap in Section 16.2, and on the same procedure as Section 17.2, reversed. This does not cover a claim arising from your content, your configuration or settings, your domain name, your use of the Services in combination with anything we did not supply, your use after we tell you to stop, or any modification you or anyone else made. If the Services become, or we think they may become, the subject of such a claim, we may at our option procure the right to keep using them, replace or modify them so they no longer infringe, or terminate your subscription on notice, without the notice period in Section 18.4, with the prorated refund that Section provides. The cap in Section 16.2 applies to the total of defense costs and amounts paid under this Section. This is DAHTint's only indemnity obligation under these Terms and your exclusive remedy for a claim of infringement by the Services. Other than as to infringement claims covered above, nothing in this Section limits either party's other rights or remedies.

18. Term, suspension, and termination

In plain terms: month to month. You can leave any time, and your data goes with you only if you export it first. We can suspend or end it for non-payment, abuse, legal risk, or misuse of the product, and we'll give you 30 days if we're just winding you down.

18.1 Term. These Terms start when you first accept them and continue until your subscription ends and all obligations that survive have been performed.

18.2 Your cancellation. You may cancel at any time under Section 5.4.

18.3 Suspension. We may suspend your account, your storefront, or any part of the Services, immediately and with such notice as is practical, if: a payment is overdue under Section 5.9; your free 30 days ended with no billing set up (Section 5.9); we reasonably believe there is a security risk, an ongoing attack, or a compromised credential; you are abusing the Services or breaching Section 12; we reasonably believe your use creates legal or regulatory risk for you, for us, or for another shop; you revoke DAHTint's Stripe access under Section 7.7; a third-party provider requires it; or we reasonably believe you are breaching Section 9 or Section 10, in which case Section 9.15 also applies. We will restore the Services promptly once the cause is resolved. Suspension does not stop fees from accruing, except where we terminate or where Section 5.9 says nothing is owed. If we suspend you and then lift the suspension because the reason for it turned out to be wrong, we will credit you for the days you were down.

18.4 Our termination for convenience. We may terminate your subscription for any reason on 30 days' written notice, and will refund the unused portion of the month you have already paid for, prorated by day.

18.5 Our termination for cause. We may terminate your subscription immediately, with notice, if: fees remain unpaid as described in Section 5.9; you materially breach these Terms and do not cure the breach within 10 days of notice (or immediately, where the breach cannot be cured); we reasonably believe you have breached Section 9, Section 10, or Section 12.1; the representation in Section 9.3 is or becomes untrue; you revoke DAHTint's Stripe access under Section 7.7; you use the Services unlawfully; or you become insolvent, make an assignment for creditors, or have a receiver appointed.

18.6 What happens on termination. Your license under Section 9.2 ends and your authorization to access the Services is revoked (Section 9.13). Your storefront goes dark and, under Sections 8.13 and 8.14, we have no obligation to keep your Shop Data and may delete it at any time. There is no export window after termination — download your reports, and ask us for anything else you want to keep, while you are still subscribed (Section 8.12). Booking, quoting, payment, and messaging stop. Section 13.6 governs your domain, which is handled separately and is not deleted with your data. All fees accrued through termination become immediately due.

18.7 Survival. The following survive termination: Section 1.4 (the individual's own promises), Section 3.3 (we are not a party to your transactions), Section 4 (as to acts and omissions before termination), Section 5 (as to accrued fees and Section 5.5), Section 6 (as to accrued fees), Section 8.2 (only as to the records we retain under Section 8.14, and only while we retain them), Sections 8.3, 8.5, 8.6, and 8.16 (as to any Shop Data we retain under Section 8.14, and only while we retain it), Sections 8.13 and 8.14 (data on exit, and retention), Sections 9, 10, and 11, Sections 12.4, 12.5, and 12.6 (your responsibility for your content, and our right to remove it), Section 13.2 (our ownership of the domain), Section 13.6 (your domain after you leave), Section 13.7 (what we will never do with it), Section 14.6 (no unsolicited commercial messages), Sections 15, 16, and 17, Section 19, and Section 20, along with any other provision that by its nature should survive. Section 8.12 does not survive: the right to get your data out runs while you are subscribed and ends at termination.

19. Disputes

In plain terms: talk to us first. If that fails, it's individual arbitration in Boise under Idaho law — but small claims and IP emergencies still go to court, and you can opt out of arbitration within 30 days.

19.1 Governing law. These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of Idaho, without regard to its conflict-of-laws rules. The Federal Arbitration Act governs the interpretation and enforcement of Section 19.3.

19.2 Talk first. Before starting an arbitration or a lawsuit, the party with the complaint must send a written Notice of Dispute to the other — to you at your account email address, and to DAHTint at support@dahtint.com — describing the dispute, the facts, and the specific relief and dollar amount sought. Email is enough for a Notice of Dispute; Section 20.2's mail requirement does not apply to it. The parties will then try in good faith to resolve it for 30 days. This step is a condition precedent to filing. Any limitations period is tolled during those 30 days. This Section 19.2 does not apply to, and is not a condition precedent to, either category of relief carved out by Section 19.6: a party may seek injunctive or other equitable relief to protect intellectual property, confidential information, or trade secrets, or file an individual small-claims action, immediately and without waiting.

19.3 Binding arbitration. If the dispute is not resolved within those 30 days, any dispute arising out of or relating to these Terms or the Services will be resolved by final and binding arbitration, administered by the American Arbitration Association under its Commercial Arbitration Rules, including the Expedited Procedures where the AAA's rules make them applicable, and, where a large number of similar demands are filed, the AAA's published Mass Arbitration Supplementary Rules. There will be one arbitrator. The seat and legal place of arbitration is Boise, Ada County, Idaho; hearings may be conducted by videoconference, and the arbitrator may decide the matter on documents alone. The arbitrator may award any relief a court could award to that individual party, including the fee award in Section 11.4, and may not award relief for or against anyone who is not a party — except that the arbitrator may apply Sections 15, 16, and 17 for the benefit of the people and companies those Sections protect. Judgment on the award may be entered in any court of competent jurisdiction.

19.4 Arbitration costs. If your claim is for less than $10,000, DAHTint pays the AAA's filing and administrative fees and the arbitrator's fees, unless the arbitrator finds your claim frivolous or brought for an improper purpose, in which case those fees are allocated as the AAA's rules provide. For any other claim, filing, administrative, and arbitrator fees are allocated as the AAA's rules provide. Each party otherwise bears its own costs, subject to Section 11.4.

19.5 Individual basis only. THE PARTIES WILL BRING CLAIMS ONLY IN THEIR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE-ATTORNEY-GENERAL, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS AND MAY NOT PRESIDE OVER ANY CLASS OR REPRESENTATIVE ARBITRATION. This Section 19.5 is not severable from Section 19.3: if it is found unenforceable, then Section 19.3 is void in its entirety and the dispute proceeds in the courts identified in Section 19.7.

19.6 Carve-outs from arbitration. Either party may (a) bring an individual claim in the small claims department of the court in Ada County, Idaho, where the claim qualifies (in Idaho, claims not exceeding $5,000 under Idaho Code § 1-2301), and (b) seek temporary, preliminary, or permanent injunctive or other equitable relief to protect intellectual property, confidential information, or trade secrets — including any claim under Sections 9, 10, or 11 — in the state or federal courts located in Ada County, Idaho, without waiving arbitration as to any other claim.

19.7 Court venue. For any dispute not subject to arbitration, and for the enforcement of any award, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Ada County, Idaho, and waive any objection to that venue.

19.8 JURY WAIVER. IF FOR ANY REASON A DISPUTE PROCEEDS IN COURT RATHER THAN IN ARBITRATION, EACH PARTY KNOWINGLY, VOLUNTARILY, AND INTENTIONALLY WAIVES ANY RIGHT TO A TRIAL BY JURY.

19.9 30-day opt-out. You may opt out of Section 19.3 (arbitration) by emailing support@dahtint.com within 30 days after you first accept these Terms, or within 30 days after a material change to this Section 19 takes effect, with your shop name, the accepting person's name, and a clear statement that you opt out of arbitration. Opting out does not affect Section 19.5 (individual basis only) or Section 19.8 (jury waiver), which continue to apply. Opting out costs you nothing, does not affect your subscription, and leaves the rest of these Terms in force. If you opt out, disputes proceed under Section 19.7.

19.10 No shortened deadline. Nothing in this Section shortens any limitations period. See Section 16.5.

20. General

In plain terms: the housekeeping — notices, assignment, severability, and what happens if something here doesn't hold up.

20.1 Assignment. You may not assign or transfer these Terms, or any right or obligation under them, without our prior written consent; any attempt to do so is void. We may assign these Terms in whole or in part, including to an affiliate or in connection with a merger, acquisition, reorganization, or sale of assets. These Terms bind and benefit the parties' permitted successors and assigns. A change of control of the Shop, or a sale of substantially all of its assets, is an assignment for this Section.

20.2 Notices. We give you notice by email to the address on your account, and such notice is effective 24 hours after we send it unless we receive a delivery failure. You are responsible for keeping your account email address current. You give us legal notice by email to support@dahtint.com and, for any notice commencing a proceeding, also by mail to First Class Custom LLC dba DAHTint, 120 N 12th St, Apt 805, Boise, Idaho 83702.

20.3 Force majeure. Neither party is liable for a failure or delay caused by events beyond its reasonable control, including acts of God, natural disaster, fire, flood, war, terrorism, civil unrest, labor disruption, government action, epidemic, internet or utility failure, denial-of-service attack, or the failure or discontinuation of a third-party service. This does not excuse payment obligations.

20.4 Severability and reformation. If any provision of these Terms is held invalid or unenforceable, it will be modified and interpreted to accomplish its objectives to the greatest extent permitted by law, and if it cannot be, it will be severed and the remaining provisions will remain in full force. Section 10.4 and Section 19.5 state their own rules and control over this Section where they apply.

20.5 Entire agreement. These Terms, together with the plan and pricing shown to you in your account when you pick a plan, the DAHTint Privacy Notice published at https://dahtint.com/privacy (the "Privacy Notice"), and any written order or addendum signed by both parties, are the entire agreement between us about the Services and supersede all prior or contemporaneous agreements, proposals, and understandings, including any earlier master services agreement. In the event of conflict, a signed written order controls over these Terms, and Section 8 controls over the rest of these Terms as to personal data. You have not relied on any representation, demonstration, projection, or statement not set out in these Terms. The Privacy Notice may be updated as stated in it; in a conflict, these Terms control except as Section 8 provides.

20.6 No waiver. A failure or delay in enforcing any provision is not a waiver of it. A waiver is effective only if in writing and signed by the waiving party, and applies only to the instance specified.

20.7 Independent contractors. The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, franchise, employment, or agency relationship, except for the limited agency you grant in Sections 7.2 and 14.1 for the specific purposes stated there.

20.8 No third-party beneficiaries. These Terms are for the benefit of the parties only. No other person has any right to enforce them, except that Section 15 and Section 16 extend to DAHTint's owners, personnel, contractors, suppliers, licensors, and service providers, and Section 17 extends to the persons named in it.

20.9 Export and sanctions. You represent that you are not located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive US sanctions, and that you are not on any US government list of restricted or prohibited parties. You will comply with all applicable export-control and sanctions laws. The Services are offered to businesses in the United States only. You will not use them to process personal data subject to the GDPR or UK GDPR.

20.10 Electronic records. You consent to receive all communications, agreements, notices, and disclosures relating to the Services electronically, and agree that electronic records and signatures satisfy any requirement that they be in writing or signed.

20.11 Headings and interpretation. Headings and plain-terms lines are for convenience only. "Including" means "including without limitation." "Shop" and "shop" have the same meaning, whether or not capitalized, except in the defined terms "Shop Data," "Shop Personal Data," and "Shop Confidential Information." References to a statute include its successor and its implementing rules.

20.12 Language. These Terms are made in English. Any translation is for convenience; the English version controls.

20.13 Survival. Section 18.7 lists the provisions that survive termination.

21. Referral program

In plain terms: your Money page has your referral code. Give it to another tint shop. When that shop pays for their first month with your code, they get half off the plan price and we pay you what they paid for the plan that month. We pay by hand. Payment fees are never part of it. You can't use your own code. We can change or end the program.

21.1 Your code. You get one code. It's on your Money page. Change it any time; the old one stops working.

21.2 What they get. A new shop enters your code when they pick a plan. Their first month's plan price is half off. One code, once, at plan pick. Payment fees, Stripe's fees, taxes and anything else are full price.

21.3 What you get. When their first bill is paid, we pay you what they paid for the plan that month, minus the processing fees on the way. Stripe takes a cut when they pay us, and Cash App or whatever we send it with may take a cut too. You get what's left. Example: they pay $50, Stripe keeps $2, we have $48 and send it, Cash App takes $2, you get $46. Our payment fees on their jobs are not part of it. No cap on how many shops you refer.

21.4 How we pay. By hand, by a method we agree with you, when we get to it. Your Money page shows what they paid for the plan, before any fees come off; the fees only show up when the money lands. It's not a credit on your bill. Any tax on it is yours.

21.5 Your own code. You can't use your own code. A shop you own or run doesn't count either.

21.6 Codes without an account. We can give a code to someone who doesn't have a DAHTint account. Using it means they accept this section, same as a shop.

21.7 Changes. We can change or end the program any time. Money you've already earned stays yours. If a code is being gamed, we can retire it and keep the payout.
